Hantman, Joshua M.

A member of the Bankruptcy and Restructuring Group, Josh Hantman's practice focuses on a broad range of business reorganization, restructuring and distressed acquisition matters, both in and out of court. He represents debtors, creditors, committees, trustees, lenders, and purchasers of distressed assets in both litigation and transactional situations. In litigation, Josh prosecutes and defends claims for fraudulent transfers and preferences. On the transactional side, he represents clients in purchasing distressed assets in 363 sales and provides structural advice regarding mergers and acquisitions.

Josh's recent experience includes representing Mercury Companies, Inc., a holding company for title companies in numerous states, in its Chapter 11 bankruptcy case; representing Big Sandy Holding Company in the sale of its subsidiary bank, Mile High Banks, through its Chapter 11 bankruptcy case; successfully litigating appointment of a Chapter 11 trustee and confirming a creditor plan of reorganization in an oil and gas bankruptcy case, both over objections; and representing an investment fund in acquiring a $50 million multi-family development in San Francisco. He has also advised the International Finance Corporation on a debt restructuring of the largest airport in Costa Rica and advised a global financial institution on legal issues related to derivative exposure, financial products and participation in U.S. government banking programs.

Prior to joining the firm, Josh was an associate in the Financial Restructuring & Insolvency Group of White & Case in their Washington, DC office.

Representative Matters
  • Obtained court approval for sale of Fresh Produce, a women’s retailer with 27 locations throughout the US. We represented the seller through bankruptcy. The original plan was to liquidate the stores and inventory and lay off the 160 employees. However, after a robust auction for the company we secured a going concern buyer who will continue to operate the company and who will employ all 160 employee. This is likely the largest bankruptcy case in CO this year so far.

  • Counsel to Regional Care Services Corporation, the parent company of Casa Grande Regional Medical Center based in Casa Grande, Arizona, in negotiating the sale of the hospital assets to Banner Health pursuant to an Asset Purchase Agreement and related transactions. Representation encompassed all aspects of this sophisticated sale transaction, including the sale process and APA, coordinating interim financing arrangements and reorganization under Chapter 11, and identifying and resolving all health care regulatory aspects of the foregoing.

  • Counsel to Big Sandy Holding Co., Inc., a bank holding company, as seller and debtor in its Chapter 11 case in a Section 363 sale of its stock in Mile High Banks and concurrent recapitalization by Strategic Growth Bancorp, Inc. for a total of approximately $100 million. During the 363 process, Big Sandy received a competing bid from a third party, so the transaction involved the first-ever competitive auction of a bank in a Section 363 sale.

  • Representing the owner of the Landmark Condominiums and a mixed-use retail development in Chapter 11 reorganization.
