Phelps, Charlotte S.

Charlotte Phelps is an associate in Brownstein Hyatt Farber Schreck’s Denver office and a member of the Corporate & Business Department.  She focuses primarily on representing strategic companies and private equity sponsors in mergers and acquisitions, joint ventures, minority investments and general corporate governance matters. She has represented clients in a variety of industries including healthcare, biotechnology, media and education.

Prior to joining Brownstein, Charlotte was an associate in the corporate department of Proskauer Rose LLP in New York. While in law school, she was a judicial extern for the Honorable Christina Snyder of the United States District Court for the Central District of California and an articles editor of The Columbia Journal of Law & the Arts.

  • Counsel to MGM Resorts in its $825 million sale of the Circus Circus Hotel Casino and Festival Grounds to an affiliate of businessman Phil Ruffin.

  • Counsel to Encore Consumer Capital in its investment in Tourtellot & Co., a specialty distributor of high-quality fresh produce to grocery chains and independent retailers across the Northeastern United States.

  • Counsel to Canyon Bakehouse in its $205M sale to Flower Foods, one of the largest producers of packaged bakery foods in the country. We advised on the mergers and acquisitions, employee benefits and executive compensation, labor law, intellectual property and real estate aspects of the transaction. The firm’s role in the deal highlights our multidisciplinary expertise and our footprint in the natural foods industry.

  • Counsel to ART Capital LLC in its acquisition and financing of Outdoor Dimensions, LLC, a full-service provider of signage and outdoor marketing solutions based in Southern California.
