Ellen Schulhofer, managing partner of the firm’s Las Vegas office, has advised public and privately held companies, and their boards of directors, special committees and management, in a broad range of corporate matters, including mergers and acquisitions, restructurings, corporate governance, general corporate representation, corporate finance and complex joint ventures. For over 30 years, she has represented borrowers, issuers and guarantors, as well as lenders, purchasers and underwriters, as Nevada counsel in numerous private and public offerings of debt and equity securities, financings and acquisitions and dispositions. Many of these transactions have occurred in the highly-regulated gaming industry, posing particular challenges and requiring specialized industry knowledge and experience, which is Ellen’s particular focus and expertise.

As a member of the firm’s Executive Committee and former co-managing partner of the firm, Ellen has extensive leadership and strategic counseling experience which, together with her calm and pragmatic approach, is invaluable to her clients.

As an active member (and former Vice-Chair) of the Executive Committee of the Business Law Section of the State Bar of Nevada for nearly 25 years, Ellen has drafted or participated in the drafting of many important revisions to Nevada’s corporate, LLC and other business statutes during this period.

  • Nevada counsel to Scientific Games in its reincorporation from Delaware to Nevada, and ongoing corporate governance matters with post-reincorporation notes issuances and creidt facility amendments.

  • Nevada counsel to PlayAGS, Inc. in its reincorporation from Delaware to Nevada, and its IPO, as well as numerous post-IPO stock resale transactions by the company's largest stockholder.

  • Nevada counsel to Red Rock Resorts and its subsidiary, Station Casinos, in numerous complex transactions, including the acquisition of the Palms Resort & Casino, credit facilities and notes offerings, and an internal reorganization.

  • Nevada counsel to SciPlay Corporation in connection with the creation of the public company in Nevada, the IPO and related financing.

  • Counsel to Wynn Resorts in a $750M bridge financing as well as a joint venture between affiliates of Wynn Resorts and Crown Acquisitions in structuring and financing a retail project at Wynn Las Vegas.

  • Nevada corporate counsel in connection with Virgin Trains USA's acquisition of a high-speed rail project between Las Vegas and Victorville, CA.

  • Nevada Counsel to AutoZone, Inc. in connection with the offering issuance of $750M aggregate principal senior notes.

  • Nevada counsel to Mesa Air Group and its affiliates in connection with its IPO and corporate law matters regarding the structure of the post-IPO company.

  • Nevada corporate counsel to Dole Food Company in various financing matters, including a $840M term loan credit facility, a $175M revolving credit facility and a $350M senior secured notes offering.

  • Nevada counsel to Las Vegas Stadium Authority, the entity responsible for the ownership and oversight of the NFL stadium project, including corporate governance matters.

  • Assisted Landry's, Inc. and certain of its subsidiaries as Nevada corporate counsel in connection with a $1.2B term and revolving loan facility and the issue and sale of $425M of senior notes.

  • Nevada corporate counsel to General Dynamics on various complex corporate law issues surrounding its $9.7 billion tender offer and follow-on acquisition of CSRA, a leading government-related technology business.

  • Nevada corporate counsel in the development, structuring, financing and licensing of The Drew Hotel & Casino (formerly Fontainebleau).

  • Nevada counsel to the agents and lenders of revolving and term loan credit facilities, the common security agent and the representatives of the initial purchasers of notes in connection with the financing of GTECH's acquisition of International Game Technology.
